Rights issue in LightAir 2022: Intensified focus on acquisitions and business development in the B2B segment

LightAir AB is a Swedish CleanTech company that develops and sells effective air purifiers whose mission is to improve people's health and well-being by offering the market's best solutions for clean indoor air, regardless of the environment. Since 2021, we have worked on a repositioning that is fully based on B2B sales and our main focus is now in industry, offices and schools. The way forward is based on organic growth based on the solid foundation that has already been created, as well as an ongoing acquisition strategy in the B2B segment. We are therefore conducting an offensive capital raising to ensure the implementation of a small number of acquisitions that benefit the Company's development in terms of turnover, cash flow and/or sales channels and for further acceleration of our business development.

Summary of the rights issue

The Rights Issue will, upon full subscription, initially provide LightAir with approximately SEK 24.7 million, before issue costs. Upon full subscription and full exercise of all warrants within the framework of the issued units, the Company may receive additional proceeds of up to approximately SEK 24.7 million.
The subscription price is SEK 1.40 per unit, corresponding to SEK 0.70 per share (the warrants are issued free of charge).
All existing shareholders receive one (1) unit right for each one (1) share owned on the record date of November 25, 2022, and three (3) unit rights give the right to subscribe for one (1) unit. One (1) unit consists of two (2) newly issued shares and one (1) newly issued warrant.
The subscription period for the Rights Issue will run from November 29, 2022 up to and including December 13, 2022.
The Rights Issue is covered to approximately 33.5 percent by subscription commitments and to approximately 51.5 percent by guarantee commitments. Thus, the Rights Issue is covered to approximately 85 percent by subscription and guarantee commitments.
